Terms of Service

The rules that govern your use of NomadOS, the product of Brandenburger Digital Systems UG (haftungsbeschränkt).

1. Provider

NomadOS is provided by Brandenburger Digital Systems UG (haftungsbeschränkt), Ströherstr. 20, 35683 Dillenburg, Germany (the "Provider", "we", "us"), registered at the Local Court of Wetzlar under HRB 9602, represented by Managing Director Dennis Brandenburger. 2. Scope and acceptance

These Terms govern every use of the NomadOS website, web application, mobile clients, and any related services (together, the "Service"). By creating an account or using any feature of the Service you accept these Terms. If you do not accept them, do not use the Service.

3. Description of the Service

NomadOS is an informational tool for digital nomads and globally mobile professionals. It supports presence tracking, compliance estimates (Schengen 90/180, 183-day tax-residency indicators), document management, country intelligence, and travel planning.

The Service is not legal, tax, or immigration advice. All results are estimates based on the data you enter and public sources. Always verify critical decisions with a qualified tax advisor, immigration lawyer, or government authority.

4. Account, eligibility, and conduct

You must be at least 18 years old. You are responsible for the accuracy of the data you enter and for keeping your login credentials confidential. You must not (a) reverse-engineer, scrape, or attack the Service, (b) upload unlawful content, or (c) use the Service to harm other users.

5. Subscriptions, billing, and cancellation

Some features require a paid subscription ("Pro" or "Premium"). Current prices, billing intervals (monthly or yearly), and feature scope are shown in the pricing section and again on the order summary before you confirm payment. Prices on our site are displayed in euros. At checkout, Stripe may present a local currency where supported. The final amount payable, including any applicable taxes, is shown before you complete payment.

Order process and contract conclusion. Selecting a plan and clicking the order button labelled "Order with obligation to pay" (the English-language equivalent of the German statutory wording "Jetzt zahlungspflichtig bestellen", § 312j (3) BGB) constitutes your binding order. The contract is concluded once we (or our payment processor on our behalf) confirm the order by email.

Payment processor.Payments are processed by Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Dublin 2, Ireland. Card numbers and other sensitive payment credentials are entered directly in Stripe's hosted Checkout and never reach our servers. Available payment methods (cards, SEPA, Apple Pay, Google Pay, Klarna and others) depend on your country and on Stripe's offering at the time of purchase.

Merchant of record (Stripe Managed Payments). Where the checkout flow is processed through Stripe Managed Payments, Stripe (and not NomadOS) acts as the merchant of record for that transaction — meaning Stripe is the legal seller for tax and invoicing purposes, issues the corresponding tax invoice, and is responsible for calculating, collecting, and remitting any applicable indirect taxes (VAT/GST/sales tax) in your jurisdiction. The customer-facing receipt and bank statement may therefore identify Stripe (or its Link brand) as the seller. The contract for the underlying digital service remains directly between you and us; support questions about the product itself are still handled by us via info@brandenburger-digital-systems.com.

Renewal and cancellation. Monthly subscriptions renew every month, yearly subscriptions every twelve (12) months, in each case at the then-current price for the same plan. You can cancel at any time through the customer portal (Settings → Billing). The cancellation takes effect at the end of the current paid period; access to paid features remains until then. We do not refund pro-rated portions of a billed period unless required by mandatory law.

Right of withdrawal. If you are a consumer within the meaning of § 13 BGB, you have a statutory right of withdrawal of fourteen (14) days from the conclusion of the contract. Full instructions and an optional written notice are available on the Withdrawal Policy page.

Immediate access — § 356 (5) BGB. The paid online checkout of NomadOS is designed for immediate activation after successful payment. For that reason, the checkout requires an explicit declaration that we may begin performance before the withdrawal period expires and that you acknowledge the resulting loss of your right of withdrawal once performance begins. Without that declaration, the online checkout cannot be completed.

Price changes. We may adjust prices for future billing periods. We will notify you by email at least thirty (30) days before any price increase takes effect. You may cancel before the new price applies; the cancellation rules above remain unchanged.

6. Intellectual property and your content

The Service, its source code, design, text, and brand are owned by the Provider. You retain ownership of the content you upload (trips, documents, notes). You grant us a limited, non-exclusive licence to host and process that content as required to deliver the Service.

7. AI-generated content

Some features (Daily Briefing, Assistant, scenario planning) use third-party large language models — currently Google Gemini. AI output may be incorrect, outdated, or incomplete. Treat every AI-generated answer as a starting point, never as a binding statement, and verify before acting.

8. No warranty

The Service is provided "as is" and "as available". Nothing in these Terms excludes mandatory statutory rights that cannot be waived under applicable consumer-protection law.

9. Limitation of liability

To the maximum extent permitted by law, the Provider is liable without limitation for damages caused by intent or gross negligence, for injury to life, body, or health, and under the German Product Liability Act. For ordinary negligence, we are liable only for breach of essential contractual duties; in that case liability is limited to foreseeable damages typical for this type of service.

We are explicitly not liable for fines, overstays, visa refusals, tax assessments, or any other consequence resulting from a compliance decision you made based on information shown in the Service. The Service does not replace professional advice.

10. Termination

You may delete your account at any time from the Settings page. We may suspend or terminate accounts that violate these Terms or applicable law, with or without notice depending on severity. Backups may persist for up to 30 days after deletion before being purged.

11. Changes to the Service or these Terms

We may update the Service and these Terms over time. Material changes will be announced in the Service and, if they affect an active account or paid subscription, by email at least 30 days before they take effect. Changes to an existing paid subscription apply only where permitted by law, where you consent, or from the next renewal period after notice and an opportunity to cancel.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The exclusive place of jurisdiction for disputes with merchants, public-law entities, or persons without a general place of jurisdiction in Germany is the Provider's registered office in Dillenburg. Mandatory consumer protection law remains unaffected.

13. Consumer dispute resolution

The former EU Online Dispute Resolution (ODR) platform was discontinued on 20 July 2025 and is no longer available. We are neither obliged nor willing to participate in a dispute-resolution procedure before a consumer arbitration board within the meaning of § 36 VSBG.

14. Severability

If any provision of these Terms is or becomes invalid, the remaining provisions continue in full force. The statutory rules apply in place of the invalid provision.

15. Sources used in compliance estimates

Schengen calculations follow Regulation (EU) 2016/399 (Schengen Borders Code) Article 6 and the European Commission's official 90/180-day calculator methodology. Tax-residency indicators follow the OECD Model Tax Convention, Article 4, and the "183 days in any 12-month period" convention used by most EU member states. Country-specific rules are indicative; always verify with the relevant national tax authority.
